Terms and Conditions

§ 1 General and Definitions

1.1 These General Terms and Conditions ("GTC") govern the contractual relationship between the provider, Renata Vasconcellos, and the client ("Client"). Clients may be consumers or entrepreneurs. 1.2 The object of the contract is consultancy, mentoring, and coaching services, as well as accompanying digital content, specifically in the field of Digital Transformation. 1.3 Differing or conflicting conditions of the Client shall not apply unless expressly agreed upon in writing.

§ 2 Conclusion of Contract

2.1 The offers presented on the website are non-binding. A contract is formed when the Client completes a booking and the provider confirms it via email or begins performing the service. 2.2 The contract language is English (or Portuguese/German where specified).

§ 3 Scope of Services

3.1 The provider provides individual consultancy and coaching services, delivered online (e.g., video conference) or by telephone. 3.2 These are services according to §§ 611 ff. BGB (German Civil Code). A specific economic or professional success is not guaranteed. 3.3 The focus is on the strategic development of digital competencies and organizational transformation. Since each Client has unique challenges, there is no fixed curriculum; the support is process-oriented and individual. 3.4 Live sessions constitute the full fulfillment of the service. Any additional digital materials (videos, PDFs) are voluntary supplementary offers and can be modified or discontinued at any time.

§ 4 Obligations and Intellectual Property

4.1 Access data for digital products is personal and non-transferable. The Client must keep login details confidential. 4.2 All materials provided are for the Client's personal use only. Reproduction, distribution, or use for the Client's own consulting purposes is strictly prohibited without prior written consent. 4.3 Confidentiality: Both parties agree to maintain silence regarding confidential information exchanged during the collaboration. This applies to business secrets and "know-how" shared during sessions.

§ 5 Payment Terms

5.1 Prices stated at the time of booking apply and include statutory VAT where applicable. 5.2 Payment is generally due in advance. If installment payments are agreed upon and the Client defaults on two installments, the entire remaining balance becomes due immediately.

§ 6 Liability

6.1 The provider is liable without limitation for intent, gross negligence, and injury to life, limb, or health. 6.2 In cases of slight negligence, liability is limited to the typically foreseeable damage at the time of contract conclusion, provided a material contractual obligation was breached.

§ 7 Right of Withdrawal (Consumers)

7.1 Consumers residing in the EU generally have a 14-day right of withdrawal. However, this right expires prematurely if the service has been fully performed or if the Client expressly consented to the immediate execution of digital content delivery.

§ 8 Final Provisions

8.1 Applicable Law: German law applies. If the Client is a merchant, the place of jurisdiction is Wolfsburg, Germany. 8.2 Should individual provisions be invalid, the remainder of the contract remains in effect.
